# Acordo do Programa de Afiliados & Código de Conduta

ESTE ACORDO CONTÉM UMA RENÚNCIA DE AÇÃO COLETIVA QUE ABRE MÃO DO SEU DIREITO DE PARTICIPAR DE UMA AÇÃO COLETIVA. VOCÊ DEVE REVISAR ESTE DOCUMENTO NA ÍNTEGRA, INCLUINDO A SEÇÃO DE RESOLUÇÃO DE DISPUTAS ABAIXO, ANTES DE PARTICIPAR DO PROGRAMA (COMO DEFINIDO ABAIXO).

## 1. Visão Geral

Este Acordo de Afiliado constitui as disposições aqui contidas, os Termos de Serviço da Global Netflow, a Política de Privacidade da Global Netflow, ambos incorporados por referência (coletivamente, o “Acordo”). O Acordo regula sua atividade, sua solicitação para ingressar e qualquer participação subsequente no programa de afiliados da Global Netflow (o “Programa”). Ao aceitar o Acordo ou participar do Programa, você (“Afiliado”, “Você” ou “você”) concorda em ser vinculado pelos termos aqui estabelecidos e reconhece que este é um acordo legalmente vinculativo entre você e a Global Netflow LLC (“Global Netflow”, “nós” ou “nos”).

Se você não concordar com os termos deste Acordo, não participe do Programa.

## 2. Definições

- Venda: Uma venda é considerada realizada quando um novo usuário (“Potencial Cliente”) (i) adquiriu produtos/serviços da Global Netflow acessando diretamente o site da Global Netflow por meio de um link de afiliado de um de seus canais autorizados; e (ii) clicou no link de afiliado para o site da Global Netflow e comprou produtos/serviços, desde que tenha sido o último link de afiliado clicado pelo cliente nos últimos 90 dias. Todas as determinações sobre se uma Venda ocorreu e se uma Comissão é paga serão feitas exclusivamente pela Global Netflow.

## 3. Comissões

As comissões serão pagas de acordo com as seguintes taxas, determinadas exclusivamente pela Global Netflow:

a. Conta de Local Único: 40% (aplicável a todos os usuários da Global Netflow)

b. Conta Ilimitada para Agências: 40% (aplicável a todos os afiliados aprovados)

c. Conta Pro para Agências (SaaS): 40% (aplicável a todos os afiliados aprovados)

d. Upgrade de Aplicativo Móvel de Marca Branca: 40% (aplicável a todos os afiliados aprovados)

e. Conta de Local Único de Segundo Nível: 5% (aplicável a todos os afiliados aprovados)

f. Conta Ilimitada para Agências de Segundo Nível: 5% (aplicável a todos os afiliados aprovados)

g. Conta Pro para Agências (SaaS) de Segundo Nível: 5% (aplicável a todos os afiliados aprovados)

h. Upgrade de Aplicativo Móvel de Marca Branca de Segundo Nível: 5% (aplicável a todos os afiliados aprovados)

i. Certificações da Global Netflow: 40% (aplicável a todos os usuários da Global Netflow)

As taxas de comissão podem ser alteradas de tempos em tempos, a critério exclusivo da Global Netflow.

## 4. Divulgações

As divulgações devem ser claras e visíveis. Não devem estar escondidas (por exemplo, apenas na bio ou abaixo da dobra, sob um hiperlink como “Mais”, “Legal” ou “Divulgação”, ou no meio ou no final de uma série de hashtags ou cópia geral).

Para vídeos, transmissões ao vivo e histórias:

- Em postagens de vídeo: (1) inclua a divulgação dentro do próprio vídeo e na descrição do vídeo; e (2) exiba a divulgação no vídeo por tempo suficiente para que o espectador possa ler e entender.

## 5. Propriedade Intelectual

Você não deve usar a propriedade intelectual da Global Netflow sem o consentimento prévio por escrito, incluindo, mas não se limitando a, marcas comerciais ou marcas da Global Netflow como parte do nome da sua empresa ou domínio. Você notificará imediatamente a Global Netflow sobre qualquer infração ou possível infração de qualquer propriedade intelectual ou direitos da Global Netflow dos quais tome conhecimento.

## 6. Prazo e Término

O prazo deste Acordo começará na data de sua aceitação ou assinatura deste Acordo (inclusive digitalmente). Sua participação no Programa continuará até que seja encerrada. Qualquer das partes pode rescindir este Acordo a qualquer momento, com ou sem motivo, mediante aviso por escrito à outra parte com 30 (trinta) dias de antecedência.

Em caso de violação deste Acordo, incluindo, mas não se limitando a, violações legais ou de termos relacionados ao uso da Global Netflow, podemos rescindir o Acordo, congelar suas Comissões ou suspender seu acesso aos Serviços imediatamente, sem aviso prévio. Nesse caso, todas as Comissões e outros pagamentos devidos a você serão automaticamente perdidos.

## 7. Resolução de Disputas

Todos os assuntos relacionados ao Programa, incluindo todas as disputas, serão regidos pelas leis dos Estados Unidos e pelas leis do Estado do Texas, sem considerar suas disposições de conflito de leis. Você concorda com a jurisdição pessoal e o foro nos tribunais estaduais e federais de Austin, Texas, e renuncia a qualquer objeção a tal jurisdição ou foro.

Você e nós concordamos que qualquer disputa que não possa ser resolvida por meio dos procedimentos acima será resolvida individualmente. Ações coletivas e arbitragens coletivas não são permitidas. Você só pode apresentar uma reclamação em nome de si mesmo e não pode buscar reparação que afete outros usuários de nossos serviços ou do Programa.

## 8. Indenização

Você concorda em indenizar, defender e isentar a Global Netflow de qualquer responsabilidade, incluindo, mas não se limitando a:

1. Qualquer violação real ou alegada deste Acordo por você;

2. O uso ou posse de qualquer propriedade da Global Netflow, incluindo, sem limitação, qualquer propriedade intelectual ou materiais da Global Netflow;

3. Qualquer negligência, grossa negligência ou conduta dolosa por você ou por aqueles que trabalham em seu nome;

4. Sua utilização e/ou modificação de quaisquer dos Serviços, incluindo links de afiliados, em conexão com este Acordo; e

5. Quaisquer materiais que você criar ou campanhas que executar em conexão com o Programa.

## 9. Confidencialidade e Privacidade

“Informação Confidencial” significa qualquer informação não pública de negócios, técnica, financeira ou outra propriedade exclusiva que você possa receber de nós durante o período deste Programa, incluindo, sem limitação, quaisquer diretrizes de marca, dados ou informações pessoais de Clientes ou Potenciais Clientes que a Global Netflow fornece a você para cumprir suas obrigações no âmbito do Programa ou de um acordo separado para serviços. Você concorda em manter nossa Informação Confidencial em estrita confidencialidade e não divulgá-la a terceiros ou usá-la para qualquer fim diferente do expressamente permitido neste Acordo.

# Affiliate Program Agreement & Code of Conduct

THIS AGREEMENT CONTAINS A CLASS ACTION WAIVER THAT WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MUST REVIEW THIS DOCUMENT IN FULL, INCLUDING THE DISPUTE RESOLUTION SECTION BELOW, BEFORE PARTICIPATING IN THE PROGRAM (AS DEFINED BELOW).

## 1. Overview

This Affiliate Agreement constitutes the provisions herein, the Global Netflow Terms of Service, and the Global Netflow Privacy Policy, both incorporated by reference (collectively, the “Agreement”). The Agreement governs your activity, your application to join, and any subsequent participation in the Global Netflow affiliate program (the “Program”). By accepting the Agreement or participating in the Program, you (“Affiliate,” “You” or “you”) agree to be bound by the terms set forth herein and acknowledge that this is a legally binding agreement between you and Global Netflow LLC (“Global Netflow,” “we” or “us”).

If you do not agree with the terms of this Agreement, do not participate in the Program.

## 2. Definitions

- Sale: A sale is considered made when a new user (“Prospect”) (i) purchases products/services from Global Netflow by directly accessing the Global Netflow site via an affiliate link from one of your authorized channels; and (ii) clicked on the affiliate link to the Global Netflow site and purchased products/services, provided it was the last affiliate link clicked by the customer in the last 90 days. All determinations regarding whether a Sale occurred and whether a Commission is paid will be made solely by Global Netflow.

## 3. Commissions

Commissions will be paid according to the following rates, determined exclusively by Global Netflow:

a. Single Location Account: 40% (applicable to all Global Netflow users)

b. Agency Unlimited Account: 40% (applicable to all approved Affiliates)

c. Agency Pro (SaaS) Account: 40% (applicable to all approved Affiliates)

d. White Label Mobile App Upgrade: 40% (applicable to all approved Affiliates)

e. Second Tier Single Location Account: 5% (applicable to all approved Affiliates)

f. Second Tier Agency Unlimited Account: 5% (applicable to all approved Affiliates)

g. Second Tier Agency Pro (SaaS) Account: 5% (applicable to all approved Affiliates)

h. Second Tier White Label Mobile App Upgrade: 5% (applicable to all approved Affiliates)

i. Global Netflow Certifications: 40% (applicable to all Global Netflow users)

Commission rates may change from time to time at the sole discretion of Global Netflow.

## 4. Disclosures

Disclosures must be clear and visible. They should not be hidden (e.g., only in the bio, below the fold, under a hyperlink such as “More,” “Legal,” or “Disclosure,” or in the middle or end of a series of hashtags or general copy).

For videos, live streams, and stories:

- In video posts: (1) include the disclosure within the video itself and in the video description; and (2) display the disclosure in the video long enough for a viewer to read and understand it.

## 5. Intellectual Property

You must not use Global Netflow’s intellectual property without prior written consent, including but not limited to trademarks or brands of Global Netflow as part of your company name or domain. You will immediately notify Global Netflow of any infringement or potential infringement of any intellectual property or rights of Global Netflow of which you become aware.

## 6. Term and Termination

The term of this Agreement will begin on the date of your acceptance or signature of this Agreement (including digitally). Your participation in the Program will continue until terminated. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party at least 30 (thirty) days in advance.

In the event of a breach of this Agreement, including but not limited to legal or terms-related violations concerning the use of Global Netflow, we may terminate the Agreement, freeze your Commissions, or suspend your access to the Services immediately without prior notice. In such cases, all Commissions and other payments due to you will be automatically forfeited.

## 7. Dispute Resolution

All matters related to the Program, including all disputes, will be governed by the laws of the United States and the laws of the State of Texas, without regard to their conflict of laws provisions. You agree to personal jurisdiction and venue in the state and federal courts in Austin, Texas, and waive any objection to such jurisdiction or venue.

You and we agree that any dispute that cannot be resolved through the procedures above will be resolved individually. Class actions and class arbitrations are not permitted. You may bring a claim only on behalf of yourself and cannot seek relief that would affect other users of our services or the Program.

## 8. Indemnification

You agree to indemnify, defend, and hold harmless Global Netflow from any liability, including but not limited to:

1. Any actual or alleged breach of this Agreement by you;

2. The use or possession of any property of Global Netflow, including, without limitation, any intellectual property or materials of Global Netflow;

3. Any negligence, gross negligence, or willful misconduct by you or those acting on your behalf;

4. Your use and/or modification of any of the Services, including affiliate links, in connection with this Agreement; and

5. Any materials you create or campaigns you run in connection with the Program.

## 9. Confidentiality and Privacy

“Confidential Information” means any non-public business, technical, financial, or other proprietary information that you may receive from us during the term of this Program, including, without limitation, any branding guidelines, data, or personal information of Customers or Prospects that Global Netflow provides to you to fulfill your obligations under the Program or a separate agreement for services. You agree to maintain our Confidential Information in strict confidence and not disclose it to third parties or use it for any purpose other than expressly permitted under this Agreement.
